Terms and Conditions

Hike Cinema, a website (currently located at: http://hikeapp.com/) and mobile application-based platform (together, “Platform”), is owned and operated by Hike Messenger Ltd, a company incorporated under the UK Company law, and having its registered office at 3rd Floor 45 Albemarle Street, Mayfair, London, United Kingdom, W1S 4JL (hereinafter referred to as “Hike” or “us” or “we” or “our”, which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns).
By downloading, accessing, or using our Services (defined hereinafter), you agree to these Terms and Conditions (“Terms”), and the Platform’s Privacy Policy (“Privacy Policy”) (deemed to be incorporated herein by reference and currently available on https://hikeapp.com/privacy-policy.
The terms “you”, “your” or “user”, and all its grammatical variations, shall mean and refer to any natural or legal person who accesses or is the user of the Platform.

1. Services

1.1 Our service includes providing users access to audio-visual content curated by Hike over the internet on internet-connected devices, and any other services that we may introduce from time to time (“Services”).
1.2 You consent to our sending you notifications via our Platform and/or other permitted communication channels, as necessary to provide our Services to you. Such notifications may be related to both the Services and any changes relating to the provision of the Services to you by Hike.

2. Eligibility and Account

2.1 You must be at least eighteen (18) years of age or such other age as prescribed by applicable law in your jurisdiction for legal competence to contract, to register for and use our Services. If you are below such age, you are required to obtain the consent of your parents and/or legal guardians (where applicable). Hike reserves the right to determine your eligibility to use the Platform or the Services, at its sole discretion.
2.2 A user may avail the Services by creating a registered user account (“Account”).
2.3 You represent and warrant that all data and information you provide to Hike for the creation and maintenance of your Account, including name, phone number, email address (“Registration Information”) are accurate, complete, and current, and you agree to keep it updated to ensure its continued accuracy. You further represent, warrant, and undertake that the Account created by you shall not be a false, misleading, or fraudulent profile, i.e., created by using false information or impersonating any person or entity or misrepresenting your identity, by using their name, photo, claiming to be someone other than yourself, or through any other means.
2.4 You are responsible for maintaining the confidentiality and proper use of your Account ID and password and for all activity carried out under your Account. You shall immediately notify Hike of any breach of confidentiality or unauthorized use of your Account. If any loss is caused by any unauthorized use of your Account, you shall be liable for the losses suffered by Hike or others due to such unauthorized use. Hike shall not be liable for any losses caused by any unauthorised use of your Account.
2.5 You may cancel or deactivate your Account at any time by following the Account cancellation process available within the Platform or by contacting us at care@hikecinema.com. Upon deactivation of your Account, your right to access and use the Services shall immediately cease and, except for information that needs to be retained for compliance with applicable law, regulatory obligation, fraud prevention, security purpose or for continued access, interoperability, synchronisation, and use of any other products or any other services offered by Hike and/or its affiliates which you have opted to access or use (including Hike Messenger and Hike Cinema). Hike shall retain user-registration information associated with your Account for a period of 180 days from the date of cancellation or withdrawal of registration, to comply with applicable laws, regulatory requirements, or legitimate business purposes.

3. Legal And Acceptable Use

3.1 You must access and use our Services only for legal, authorized, and acceptable purposes. You will not use our Services in ways that:
(a)violate the rights of Hike, our users, or other third parties under any laws that are applicable to the use and/or provision of the Services;
(b)are unlawful, inappropriate, pornographic, paedophilic, invasive of another’s privacy (including bodily privacy), harmful, obscene, defamatory, intimidating, harassing, racially or ethnically offensive, relating or encouraging money laundering or gambling or an online game that causes user harm, or that encourages illegal conduct, violence or enmity between different groups on the grounds of religion or caste with the intent to incite violence, endangering or exploiting children or others, threat to sovereignty of India or friendly relations with any other countries, or any other form of harm;
(c)are inconsistent with or contrary to applicable law;
(d)infringe any patent, trademark, copyright or other proprietary rights;
(e)impersonate someone;
(f)threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting of any other nation;
(g)reverse engineer, alter, modify, decompile, disassemble, create derivative works or otherwise attempt to derive the source code, structure or underlying ideas of the Platform or Services, except to the extent permitted by applicable law.
(h)gain unauthorized access to our Services;
(i)interfere with the security, availability, or performance of our Services;
(j)collect, store and/or utilise in any manner, information of or about our users in any impermissible or unauthorized manner;
(k)sell, resell, rent, or charge for our Services or data obtained from us or our Services in an unauthorized manner;
(l)create software or APIs that function substantially the same as our Services and offer them for use by third parties in an unauthorized manner.
(m)circumvent, remove, alter, deactivate, degrade, block, obscure or thwart any of the content protections or other elements of the Service, including the graphical user interface, any advertising or advertising features, copyright notices, and trademarks;
(n)insert any code or product or manipulate the Content of the Service in any way;
(o)use any data mining, data gathering or extraction method;
(p)download, record, capture, copy, reproduce, screen-record, screenshot, photograph, or otherwise reproduce any Content (or any portion thereof), or distribute, transmit, sell, license, rent, publicly perform, or make available any Content, except as expressly permitted through the Service and these Terms (including any act of piracy);
(q)cover, remove, disable, manipulate, block, or obscure advertising or other portions of the Services or the Content.
(r)delete or revise information provided by or pertaining to any other user.
(s)engage in commercial activity utilising or based on the Content, including advertisements or solicitations of business; sales; contests; sweepstakes; creating, recreating, distributing, or advertising an index of any significant portion of the Content or building a business using the Content, without Hike's prior written consent.
(t)use technology or other means to access, index, frame, or link to Hike (including the Content) in a manner not authorized by Hike;
(u)use Hike to advertise or promote competing services.
(v)attempt, facilitate, induce, aid and abet, or encourage others to do any of the foregoing.
3.2 Hike reserves the right at its sole discretion, to restrict, refuse, suspend, or terminate your access or usage rights to your Account or the Platform and/or your ability to avail any of the Services, at any time, if it is brought to Hike’s notice or if it finds, in its sole and absolute determination, that you are in breach of the above or if you violate these Terms or the Privacy Policy. Any such restriction, refusal, suspension, or termination will be without prejudice to Hike’s rights and remedies that we may have against you hereunder, at law or in equity in respect of your breach of these Terms and the Privacy Policy. If your Account, or your access to, or use of the Platform or any Services, is terminated, suspended or deactivated for any reason whatsoever, we may delete any information or materials provided by you or stored in your Account or relating to your use of the Platform and/or any Services, and we shall have no liability to you or any third party for doing so. The provisions of such clauses where the context requires shall survive termination or expiry of your relationship with Hike, such as Licenses (Clause 5), Disclaimers and Release (Clause 6), Limitation Of Liability (Clause 11), Indemnification (Clause 12), and Dispute Resolution (Clause 15).
3.3 Hike self-classifies Content in accordance with applicable laws and industry standards into U/A 13+, U/A 16+, and A (18+) along with descriptive tags (classified on the basis of (i) themes and messages; (ii) violence; (iii) nudity; (iv) sex; (v) language; (vi) drug and substance abuse; and (vii) horror and any other criteria as may be notified by the Ministry of Information & Broadcasting), and advise on viewer discretion (if applicable) at the beginning of every programme enabling the user to make an informed decision, prior to watching the programme in a manner that ensures that users are aware of this information before accessing such Content, having regard to the context, theme, tone, impact and target audience of such Content. You should exercise your full discretion in viewing the Content.
3.4 Hike shall ensure that access control mechanisms, including parental locks, are made available for the Content on the Platform. Hike shall also implement a reliable age verification mechanism for viewership of Content that is classified as "A" and shall take all efforts to restrict access to such Content by a child through the implementation of appropriate access control measures.
3.5 Hike exercises due caution and discretion in relation to the implications arising from the exhibition of any content falling under the following categories:
(a)content which affects the sovereignty and integrity of India;
(b)content which threatens, endangers or jeopardises the security of the State;
(c)content which is detrimental to India's friendly relations with foreign countries;
(d)content which is likely to incite violence or disturb the maintenance of public order;
(e)content which features activities, beliefs, practices, or views of any racial or religious group;
(f)content which promotes or encourages hatred, discrimination or enmity between individuals or groups on the basis of religion, race, caste, gender or ethnicity;
(g)content which is otherwise harmful to public interest or societal harmony.
3.6 Hike shall not display, upload, modify, publish, transmit, store, update or share any Content that:
(a)belongs to another person and to which it does not have any rights;
(b)is unlawful, obscene, pornographic, paedophilic, invasive of another's privacy (including bodily privacy), insulting or harassing on the basis of gender, racially or ethnically objectionable;
(c)relating or encouraging money laundering or gambling, or an online game that causes user harm, or promoting enmity between different groups on the grounds of religion or caste with the intent to incite violence;
(d)is harmful to children;
(e)infringes any patent, trademark, copyright or other proprietary rights;
(f)deceives or misleads users about the origin of the Content or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature or, in respect of any business of the Central Government, is identified as fake or false or misleading by such fact check unit of the Central Government as the Ministry may, by notification published in the Official Gazette, specify;
(g)impersonates another person;
(h)threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting other nation;
(i)contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
(j)is in the nature of an online game that is not verified as a permissible online game;
(k)is in the nature of advertisement or surrogate advertisement or promotion of an online game that is not a permissible online game, or of any online gaming intermediary offering such an online game; or
(l)violates any law for the time being in force.

4. Safety, Security, And Integrity

4.1 You acknowledge that you are responsible for any activity undertaken through your Account. Accordingly, you are responsible for keeping your Account, any Account-related identifiers and passwords safe and secure, and you must notify us immediately of any unauthorized access or use of your Account or any security breach of your Account or our Services.
4.2 Our Services may allow you to access, use, or interact with third-party websites, apps, content or other products and services. When you use third-party products or services, you do so at your sole risk and are subject to the terms and conditions, and privacy policies of such third-party products or services, and such terms and conditions, and privacy policies will govern your use of those products or services.
4.3 Your access to our Services is subject to your provision of authenticity and genuineness about yourself and your mode of access, and we may seek additional information and access to your device or systems for the limited purpose of verifying your identity and credentials to ensure compliance with applicable law and prevailing industry practice.
4.4 You agree to cooperate with such verification processes and provide all information reasonably requested by us for the completion of verification. In the event that we are unable to verify your identity or credentials, or if any information provided by you is found to be false, inaccurate or incomplete, we may restrict, suspend or deactivate your access to the Services.

5. Licenses

5.1 All intellectual property rights, including all copyrights, trademarks, domains, logos, trade dress, trade secrets, patents and other proprietary rights in and to the Platform, Services and Content are owned by or licensed to Hike.
5.2 You shall not copy, reproduce, modify, adapt, distribute, transmit, display, publish, license, create derivative works, sell or otherwise use the Content, in whole or in part, for any public or commercial purpose, or in any manner that is likely to cause confusion among consumers or that otherwise infringes Hike’s intellectual property rights. Any use of the Content from which you derive or intend to derive any remuneration or commercial benefit, whether monetary or otherwise, shall be deemed a commercial use for the purposes of these Terms.
5.3 In order to provide the Services, and to enable your use of the Services you hereby grant to Hike a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, display and process the Account Information that you submit on or through the Services, for the limited purpose of operating, improving and providing the Services.
5.4 We grant you a limited, revocable, non-exclusive, personal, non-commercial, non-sublicensable, and non-transferable license to access and use the Services and to view the Content only during the subsistence of your Account, solely within territories where Hike makes such Content lawfully available to you, and strictly in accordance with these Terms.
5.5 No ownership or intellectual property right in any Content is transferred to you. All rights not expressly granted herein are reserved by Hike.
5.6 A parent/legal guardian may create and manage an Account for a minor in accordance with these Terms and applicable law, and may assign such Account to the minor upon such person reaching the age of majority as per applicable law. Except as expressly permitted herein, Accounts and the rights granted under this clause shall not be assigned, transferred, or otherwise dealt with by you.

6. Disclaimers And Release

6.1 You acknowledge and agree that your access to and use of the Services shall be at your sole risk and the Services are provided on an “as is” and “as available” basis, without any express or implied warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, title, availability, non-infringement, and freedom from computer virus or other harmful code. We do not warrant that any information provided by us is accurate, complete, or useful, that our Services will be operational, error free, secure, or safe, or that our Services will function without disruptions, delays, or imperfections. Hike disclaims all liability for any:
(i)unauthorized access to or use of our secure servers and/or any and all personal information stored therein;
(ii)any bugs, viruses, trojan horses, or the like which may be transmitted to or through our Services by any third party; and/or
(iii)any products, services, or content advertised, offered, or provided by any third party through or in connection with the Services.

7. Feedback and Testimonials

7.1 If you provide any feedback, suggestions, ideas, comments or recommendations (“Feedback”) to us relating to the Platform and/or the Services, including without limitation, concerning the features, functionality, performance of the Platform (including identifying potential errors and improvements), you agree to, assign and transfer to Hike all rights, title, and interest in and to such Feedback on a royalty-free, irrevocable, assignable, transferable, exclusive and worldwide basis. We shall be free to use, copy, modify, disclose, license, transfer, assign, distribute and exploit the Feedback in furtherance of improving and marketing the Services, without payment or restriction in any manner whatsoever, without requiring any further consent from you and without any obligation towards you.
7.2 If you provide any testimonial(s) to us regarding your use of/experience with the Platform and/or Services, you agree to, assign to us all rights, title, and interest in and to such testimonial(s), on a royalty-free, irrevocable, assignable, transferable, exclusive and worldwide basis. We shall be free to use, copy, modify, disclose, license, transfer, assign, distribute and exploit such testimonial(s) along with your name, place of residence and/or photograph (if provided by you), including without limitation, for advertisements or promotional purposes that we may display on the Platform or any other marketing channel (including any digital, television, print or publication channel), without payment or restriction in any manner whatsoever, without requiring any further consent from you and without any obligation towards you.
7.3 You acknowledge and agree that we may use your testimonial with or without attribution, including under a pseudonym or anonymized format, and may make reasonable edits or alterations to your testimonial, provided that the meaning of your comments and statements is not substantially changed.
7.4 You hereby release and agree to hold harmless the Company, its agents, employees and assigns, and anyone authorized by any of them, from any and all claims, rights, demands, damages, actions or liability which you, your heirs, executors, administrators, successors or assigns, may have in connection with the use of the testimonial provided by you or the resulting advertising.
7.5 You understand that we have no obligation to use your Feedback or testimonial and may elect to use or not to use your testimonial (or any derivative work created from your testimonial) in our sole discretion.

8. Infringement Notification

8.1 If you believe in good faith that any Content on the Platform infringes your copyright under applicable law, including where such content has been reproduced, embedded, or linked on the Platform without any authorization and is accessible on the Platform, in a manner that constitutes an infringement of your copyright under Indian law, you may submit a notice to us at: ip@hikecinema.com by providing the following information:
(a)A clear identification and description of the copyrighted work claimed to have been infringed;
(b)A clear identification of the allegedly infringing material on the Platform, including sufficient details (such as photo, screenshot or URL of such allegedly infringing material along with identifying information about the person or group in which such material is shared);
(c)Your contact details: including your name, address, e-mail address and phone number;
(d)A statement that you believe, in good faith, that the use of the copyrighted material allegedly infringed on the Platform is not authorised by the law;
(e)A statement that the information provided in the notice is accurate, and under penalty of perjury, that the signatory is authorised to act on behalf of the owner of the exclusive copyright that is allegedly infringed; and
(f)Your physical or electronic signature or that of your authorised agent.
8.2 Upon receipt of a valid notice, we shall take such action as we deem appropriate, including without limitation removal or disabling access to the allegedly infringing material, without prior notice.
8.3 You acknowledge and agree that submission of false or misleading claims may result in legal liability and we may be constrained to exercise such rights and remedies as available to us in law and contract against any acts or claims made in bad faith.

9. Abuse Notification

9.1 If you come across any abuse or violation of these Terms or if you believe in good faith that any Content on the Platform or made accessible to you through the Platform violates these Terms, the Privacy Policy or any additional terms (if any and applicable) or is prohibited or restricted by applicable laws, rules and regulations, or is abusive, unlawful or threatens or harms other Users of the Platform, you may notify us of the same at: safety@hikecinema.com. In such an event, we may contact you for any further information that we may require from you in relation to your complaint and we reserve the right to determine, at our sole discretion, whether the conduct that is the subject matter of the complaint violates these Terms, Privacy Policy or additional terms (if any and applicable), or is otherwise abusive/threatening/harmful to other Users of the Platform, and to take such action as we deem appropriate, including removal of Content or restriction, suspension or termination of access to the Platform or Services. If you resort to any malafide or abusive use of this notification mechanism, the Company reserves the right to restrict or refuse your access to your Account, the Platform and/or the Services, at its sole discretion, without any prior notice to you and without any liability to you or any third party.
9.2 Where content is in the nature of material which exposes the private area of an individual, shows the individual in full or partial nudity, depicts the individual in a sexual act, or constitutes impersonation in electronic form including artificially morphed images, you may notify us of the same at grievance@hikecinema.com and mark it as “Expedited” in order for us to review and remove such Content within two (2) hours of receipt of such notification or within such timelines as may be required under applicable law.
9.3 Content Delisting: Upon receiving actual knowledge by way of a court order or notification by the appropriate Government or its agency, the Platform reserves the right to delist and remove access to unlawful information prohibited under any law in force in relation to the sovereignty and integrity of India, security of the State, friendly relations with foreign States, public order, decency or morality, contempt of court, defamation, or incitement to an offence relating to the above.

10. User Rewards

10.1 Hike may, at its sole discretion, offer rewards, points, credits, or similar incentives (“Rewards”) to users for engaging with or viewing certain Content on the Hike platform, subject to such eligibility criteria, usage conditions, and additional terms as may be prescribed by Hike from time to time, which shall be binding on the user.
10.2 Rewards earned by users may be redeemed for coupons, discounts, or other promotional benefits strictly in accordance with the specific terms applicable for such Rewards. Rewards may be subject to validity periods or expiry dates, as specified by Hike.
10.3 Rewards have no monetary value, are non-transferable, non-refundable and cannot be exchanged for cash or any other form of consideration, unless expressly permitted by Hike.
10.4 Hike reserves the right to modify, suspend, or discontinue any Rewards program, including the manner in which Rewards are earned or redeemed, at any time without prior notice, subject to applicable law.
10.5 Any misuse, manipulation, or fraudulent activity related to the earning or redemption of Rewards, including creation of multiple accounts, automated activity or any attempt to circumvent applicable terms, may result in immediate forfeiture of Rewards and/or restriction, suspension or termination of the user’s Account at Hike’s sole discretion.

11. Limitation Of Liability

11.1 To the maximum extent permitted under applicable law, we, our subsidiaries, affiliates, and our and their directors, officers, employees, partners, and agents (together, the “Hike Parties”) shall not be liable to you for any consequential, special, punitive, indirect, or incidental damages relating to, arising out of, or in any way in connection with these Terms, the Platform, or the Services (howsoever caused and under any theory of liability, including negligence), even if the Hike Parties have been advised of the possibility of such damages.
11.2 Without prejudice to the foregoing, to the extent that liability cannot be excluded under applicable law, the total aggregate liability of the Hike Parties relating to, arising out of, or in any way in connection with these Terms, the Platform, or the Services shall be limited to the lowest amount permissible under applicable law.
11.3 The foregoing disclaimer of certain damages and limitation of liability shall apply to the maximum extent permitted by applicable law.

12. Indemnification

12.1 If any party brings any claim, complaint, cause of action, controversy, dispute, or damages (“Third-Party Claim”) against Hike or the Hike Parties arising out of or in connection with your actions or information on Hike, or any other use of our Services by you, you will, to the maximum extent permitted by applicable law, indemnify, and hold the Hike Parties harmless from and against all liabilities, damages, losses, claims, and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any of the following: (a) your access to or use of our Services, including information provided in connection therewith; (b) your breach of our Terms or Privacy Policy; (c) any misrepresentation made by you; (d) your breach of any applicable laws; (e) your act, error or omission which has led to injury and/or damage to a third party; or (f) your breach of any third party intellectual property rights.

13. Governing Law

The laws of India govern our Terms, as well as any grievances (defined below) which might arise between Hike and you, without regard to conflict of law provisions.

15. Grievance Redressal and Dispute Resolution

15.1 If you have any grievance, complaint, dispute, disagreement or any claim arising out of or pursuant to these Terms about our Platform or Services, any Content disseminated by us, the fulfilment of our duties as a publisher or any other matter pertaining to our systems, processes or resources (each a “Grievance”), please share the same with our Grievance Officer who can be contacted at: grievance@hikecinema.com.

15.2 We will acknowledge receipt of the Grievance within twenty-four (24) hours of it being raised.
15.3 We may contact you on your Grievance, and you agree to engage in good faith discussion with us and any other persons involved in the matter to resolve such Grievance within fifteen (15) days from receipt of the Grievance, or such greater period as agreed with you.
15.4 In the event that your Grievance relates to any Content available through the Platform or our Services which, violates the provisions of Clause 3.1(b) or 3.1(e) then please mark such Grievance as “Expedited” for us to act expeditiously to resolve the same within thirty-six (36) hours or such period as provided by applicable law.
15.5 Please be mindful when using the Expedited labels and avoid any misuse of the same. In case of misuse, Hike reserves the right to restrict, suspend or deactivate your access to your Account, Platform and Services and seek compensation for resources expended in working expeditiously to address a Grievance that was mislabelled Expedited.
15.6 Should a Grievance remain unresolved after the completion of the period set out in Clause 15.3 then either you or Hike, or Hike have a dispute or disagreement with you or a claim against you arising under these Terms, then Hike may refer the matter for resolution by a sole arbitrator appointed with the mutual agreement of disputing parties. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time, or any statutory modifications or re-enactment thereof, for the time being in force. The venue of the arbitration shall be New Delhi. The language of the arbitration shall be English. Subject to reapportionment by the arbitrator, the Parties shall share equally in payment of the expenses of the arbitrator and the arbitration.
15.7 Subject to the aforesaid, you and Hike agree to the exclusive jurisdiction of the courts of New Delhi for the resolution of Grievances or disputes, provided that Hike may approach a court of competent jurisdiction for interim relief or execution proceedings against You.

16. Miscellaneous

16.1 We may update these Terms and subsequently update the “Effective Date” at the top of our Terms. Your continued use of our Services confirms your acceptance of our Terms, as amended. If you do not agree to our Terms, as amended, then we will not be able to provide you with continued access to our Services and you must cease any further use of our Services.
16.2 All of our rights and obligations under our Terms are freely assignable by Hike to any of our affiliates or in connection with a merger, acquisition, restructuring, or sale of assets, or by operation of law or otherwise, and we may transfer your information to any of our affiliates, successor entities, or new owner. In the event of such an assignment, these Terms will continue to govern your relationship with such third-party. We hope you will continue using our Services, but if you do not agree to such an assignment, you must stop using our Services by deleting your Account after having been notified of the assignment.
16.3 If we fail to enforce any provision of these Terms, such failure shall not constitute a waiver of that provision or of any other provision.
16.4 If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, such provision shall be deemed amended to the minimum extent necessary to make it enforceable, and if it cannot be made enforceable then it shall be deemed severable from our Terms and shall not affect the validity and enforceability of the remaining provisions of our Terms, and the remaining portion of our Terms will remain in full force and effect.
16.5 We reserve all rights not expressly granted to you under these Terms.
